Who we are: Amdose Ltd, a company registered in England and Wales (No. 16496852). Registered office: 71–75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ ("Amdose", "we", "us", "our").

These Terms and Conditions ("Terms") form a binding agreement between Amdose and each user ("you") who accesses or uses: (a) any websites we operate, including promptifex.com and any subdomains (the "Sites"); (b) our mobile applications distributed via the Apple App Store and Google Play under our developer accounts (the "Apps"); and (c) any related services, tools, dashboards, creator portals, or application programming interfaces we provide (together, the "Service").

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will provide reasonable notice (for example, via in-product notice, banner, or email). The updated Terms take effect on the "Effective date" listed above. Your continued use of the Service after changes become effective constitutes acceptance.

2. Eligibility & Accounts

2.1 Age. The Service is intended for users aged 13 and above. Users under 13 are not permitted to use the Service.

2.2 Account. You must provide accurate information, keep your credentials confidential, and promptly update your details. You are responsible for all activity under your account.

2.3 Business users. If you create or use an account on behalf of a company or organization, you represent that you are authorized to bind that entity; "you" includes that entity.

2.4 Compliance. You may use the Service only in compliance with applicable laws, including export controls and sanctions (see §17).

3. The Service; No Professional Advice

The Service enables users to discover, create, buy, sell, publish, and manage AI prompts and related digital content ("Prompts" or "UGC"). Promptifex is a community-driven library and marketplace for AI prompts—think of it as GitHub for AI conversations.

We do not provide professional advice (legal, financial, medical, etc.). Any content generated or surfaced via the Service (including AI-assisted outputs) is provided "as is" without guarantees of accuracy, originality, or fitness for a particular purpose.

4. Your Content & Intellectual Property

4.1 Ownership. Except for rights expressly granted below, you retain ownership of Prompts and other content you submit, upload, post, or otherwise make available through the Service ("User Content").

4.2 License to Amdose (hosting & promotion). You grant Amdose a non-exclusive, worldwide, royalty-free, sublicensable (to our service providers) license to host, store, cache, reproduce, display, perform, distribute, index, analyze, and promote your User Content in connection with operating, improving, and marketing the Service. This license lasts for the period your User Content is available on the Service and, for reasonable time thereafter, for backups, caches, dispute handling, and audit logs.

4.3 Publicity. You authorize us to use your public profile name, avatar, and public content to reference you as a user/creator and to showcase examples of the Service.

4.4 Removal. You may delete your User Content from your account. Deletion does not affect (i) prior sales/licenses to buyers; (ii) cached/backup copies retained for a limited time; or (iii) content we must keep for legal, audit, or fraud-prevention reasons.

4.5 Warranties. You warrant that you have all rights necessary to grant the above licenses and that your User Content does not infringe third-party rights or violate law.

5. Buyer Licenses (What buyers are allowed to do)

Unless a specific product page or license screen states otherwise, when a buyer purchases access to a Prompt or prompt pack, the buyer receives a non-exclusive, non-transferable, non-sublicensable, worldwide, perpetual license to use the Prompt internally (including to generate outputs for internal or client projects), but not to resell, redistribute, or publicly post the Prompt or any substantially similar template such that it substitutes for the original.

  • You may adapt a Prompt for your own workflows.
  • You may not sell or share the Prompt (or near-identical variants) as a product, pack, or listing.

Where a Prompt's description specifies a stricter or more permissive license, that specific license controls for that item.

6. Creator/Seller Terms (for users who sell)

6.1 Enrollment & compliance. We may require identity verification (KYC), tax information, and sanctions screening before enabling selling or payouts. We may refuse, suspend, or revoke selling privileges at our discretion.

6.2 Listings & standards. You are responsible for the accuracy of your listings, pricing, and descriptions. You must comply with our Acceptable Use (§9) and applicable laws (IP, consumer protection, export).

6.3 Fees & payouts. We may charge commissions, payment processing fees, or other charges as shown in your creator dashboard and/or our fees page (collectively, "Fees"). Payout schedules, minimum thresholds, supported currencies/methods, and reserve/withhold rules are posted in the dashboard and may change prospectively.

6.4 Chargebacks & fraud. If a transaction is reversed (e.g., chargeback, refund, fraud) you authorize us to set off against your balances, withhold future payouts, create negative balances, or collect amounts due via your payment method. We may hold reserves when we reasonably suspect risk.

6.5 Taxes. You are responsible for assessing, collecting, reporting, and remitting any taxes on your sales, except where we explicitly state we will do so. You must provide accurate tax forms upon request.

6.6 Licenses to buyers. You agree that sales grant buyers the default Buyer License in §5 unless you present a different license at purchase; any alternative license must be clear, conspicuous, and consistent with law and these Terms.

6.7 Takedowns. We may unlist or remove items that violate these Terms or the law, and we may withhold payouts while we investigate disputes.

7. Purchases, Subscriptions, Pricing & Refunds

7.1 Pricing. Prices are shown at checkout and may vary by currency, region, or promotions. We may change prices prospectively with notice where required.

7.2 Subscriptions. If you purchase a subscription, it auto-renews at the end of each billing period unless canceled before renewal. You can cancel at any time effective at the end of the current period. We generally do not offer refunds or credits for partial periods, except where required by law.

7.3 Digital content – UK/EU withdrawal. For paid digital content, you consent to immediate access and acknowledge you lose the 14-day withdrawal right once access begins, to the extent permitted by law. If you do not consent, do not start access until the withdrawal period ends.

7.4 Refunds. Except where a mandatory consumer right applies, all sales are final once access is delivered. If a product is defective or misdescribed, contact us for resolution.

7.5 App store terms. If you purchase via Apple or Google, your transaction is with that store, and its terms and refund rules apply.

8. Third-Party Services & Models

The Service may rely on third-party providers for payment processing, storage/CDN, analytics, email delivery, and other infrastructure services. Their terms and privacy practices apply in addition to ours.

Important clarification: Promptifex is a prompt library and marketplace—we do not execute AI models on your behalf. When you copy or use a Prompt from Promptifex, you use it with your own AI tools (ChatGPT, Claude, etc.). Those AI providers' terms govern your use of their models. We do not control or guarantee third-party availability, behavior, or AI model outputs.

9. Acceptable Use

You must not, and must not permit others to:

  • upload or sell content that is illegal, infringing, deceptive, defamatory, or violates privacy/publicity rights;
  • post or sell dangerous instructions (e.g., to cause harm), exploitative or sexually explicit content, or content inciting hatred or discrimination;
  • attempt to reverse engineer, circumvent access controls, or probe the Service;
  • scrape or harvest data (including listings, prices, or user profiles) except as permitted by written consent or an official API;
  • spam, engage in manipulative reviews/ratings, or interfere with marketplace integrity;
  • use the Service in violation of export controls or sanctions;
  • use any content to train models unless the relevant license explicitly permits it.

We may remove content, throttle or suspend accounts, or block access to protect users and the Service.

10. Moderation, Enforcement & Termination

We may monitor (automated or manual) for policy violations and take appropriate action, including content removal, warning, suspension, termination, delisting, or withholding payouts. We may preserve information for compliance, dispute resolution, and law-enforcement requests. You may terminate by closing your account; key provisions survive termination (see §20).

11. Intellectual Property of Amdose

The Service, including software, design, logos, and trademarks, is owned by Amdose and/or its licensors and protected by law. Except for rights expressly granted, no license is granted. You must not copy, modify, distribute, frame, or create derivative works from the Service.

12. Feedback

If you provide feedback or ideas, you grant Amdose a perpetual, worldwide, royalty-free license to use them without restriction or compensation.

13. Disclaimers

THE SERVICE AND ALL CONTENT (INCLUDING AI-ASSISTED OUTPUTS) ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES (EXPRESS, IMPLIED, OR STATUTORY), INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND NON-INTERFERENCE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT CONTENT WILL BE ACCURATE, ORIGINAL, OR FIT FOR YOUR PURPOSES.

14. Limitation of Liability

To the maximum extent permitted by law, Amdose and its affiliates, officers, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill, arising from or related to these Terms or the Service, even if advised of the possibility.

Our total liability for all claims in aggregate is limited to the greater of (a) £100 or (b) the amounts you paid to Amdose in the 12 months before the event giving rise to liability.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under law.

15. Indemnity

You will indemnify and hold harmless Amdose from and against any third-party claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your (a) User Content; (b) use of the Service; (c) violation of these Terms or law; or (d) violation of third-party rights.

16. Governing Law & Venue

These Terms and any dispute or claim (including non-contractual disputes) are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that consumers residing in the UK or EU may bring claims in their country of residence where required by mandatory law.

17. Export Controls & Sanctions

You represent that you are not located in, under control of, or a national/resident of any country or person subject to UK, EU, or US embargoes or sanctions. You will not use the Service in violation of export control or sanctions laws.

18. Notices & Contact

Official notices to Amdose may be sent to our registered office (above) and to legal@amdose.co.uk (email for convenience only).

For IP complaints, use copyright@amdose.co.uk.

We may notify you via the Service, email, or the contact details in your account.

19. Copyright Complaints (DMCA-style)

If you believe content infringes your copyright, please send a notice including:

  • (i) identification of the work;
  • (ii) identification of the infringing material (URL or listing ID);
  • (iii) your contact details;
  • (iv) a statement of good-faith belief;
  • (v) a statement that the information is accurate and you are authorized;
  • (vi) your physical or electronic signature.

We may disclose notices to the uploader and, if appropriate, act on repeat infringers.

20. Term & Termination; Survival

These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate for any breach, risk, or legal reason. Sections that by nature should survive (including §§4–7, 10–20) survive termination.

21. Entire Agreement; Assignment; Waiver; Severability; Force Majeure

These Terms (plus policies referenced herein) are the entire agreement between you and Amdose and supersede prior understandings. You may not assign without our consent; we may assign to an affiliate or in connection with a merger, acquisition, or asset transfer. Our failure to enforce is not a waiver. If any provision is unenforceable, it will be limited to the minimum extent necessary, and the remainder remains in effect. We are not liable for delays or failures due to events beyond our reasonable control.

Regional Addenda

A) UK & EU Consumers

Digital content withdrawal: When you consent to immediate access to paid digital content, you acknowledge you lose the right to withdraw within 14 days once access begins, to the extent permitted by law.

Local courts: You may bring claims in your country of residence where required by mandatory consumer law.

Statutory rights: Nothing in these Terms affects non-waivable consumer rights.

B) United States

Copyright: See §19.

Consumer rights: To the extent state laws grant non-waivable rights, these Terms do not limit them.

Definitions

"Buyer": A user who purchases access to a Prompt or pack.

"Creator" or "Seller": A user who lists/sells Prompts or packs.

"Prompt(s)": Prompt templates, instructions, or configurations intended for use with AI systems.

"User Content": Any content you submit to or through the Service (including Prompts, listings, descriptions, reviews, comments, images, and metadata).
